Spain has published the Law transposing Directive DAC 6, which will come into force on 31 December. However, in line with EU legislation, it provides for a transitional regime for arrangements for which the first stage of implementation took place between 25 June 2018 and 30 June 2020. In addition, it also applies to cross-border arrangements that have been subject to the obligation (not just to implementation) from 1 July 2020.

Implementing legislation is yet to be published, but it is expected soon, when a number of administrative reports on these rules are finalized.

In depth

  • The Spanish legislation provides for a general obligation to disclose information on cross-border tax planning arrangements as included in the Directive, together with two other independent obligations also provided for in Community legislation, namely the obligation of intermediaries to provide up-to-date information on marketable cross-border arrangements, as well as information on how taxpayers concerned use the cross-border arrangements.
  • Professional privilege is only granted to intermediaries who provide neutral advice on the arrangement. That is, it will apply when intermediaries restrict themselves to assessing whether the arrangements in line with the applicable legislation, without seeking or assisting in its implementation.
  • Formal reporting obligations exist for intermediaries bound by professional secrecy to other relevant intermediaries and taxpayers involved in the mechanism. Failure to do so will be penalized through sanctions.
  • Special infringements have been established for failure to comply with reporting obligations, with sanctions being dependent on the type of action or omission.
  • The intermediary filing the declaration must duly notify the other intermediaries or, if applicable, any other relevant taxpayers, who will be released from the obligation to declare on the basis of this notification.
  • A transitional regime is provided for whereby arrangements for which the first stage of implementation took place between 25 June 2018 and 30 June 2020 will be reported. This also applies to cross-border arrangements for which the obligation (not just implementation) was created from 1 July 2020.
  • Reporting deadlines and other transposition details will be set out in the implementing regulations (Regulation and Ministerial Order), which are yet to be approved and published.

España ha publicado la Ley que transpone la Directiva DAC6 y cuya entrada en vigor comienza el 31 de diciembre. No obstante, al igual que la normativa comunitaria, prevé un régimen transitorio en relación con los mecanismos cuya primera fase de ejecución se hubiera producido entre el 25 de junio de 2018 y el 30 de junio de 2020. Adicionalmente, también resulta de aplicación para los mecanismos transfronterizos cuya obligación (ya no sólo ejecución) haya surgido a partir del 1 de julio de 2020.

Queda pendiente la publicación de normativa de desarrollo, si bien se prevé que sea en breve, cuando se terminen determinados informes administrativos sobre dichas normas.

En detalle

  • La normativa española prevé la obligación general de información sobre mecanismos transfronterizos de planificación fiscal incluida en la Directiva, así como otras dos obligaciones independientes también previstas en la norma comunitaria. A saber, la obligación de los intermediarios de actualizar la información de los mecanismos transfronterizos comercializables; así como la información sobre la utilización de los mecanismos transfronterizos por parte de los obligados tributarios interesados.
  • Sólo se reconoce el secreto profesional para los intermediarios que presten un asesoramiento neutral relacionado con el mecanismo. Es decir, que será de aplicación cuando los intermediarios se limiten a evaluar la adecuación de dicho mecanismo a la normativa aplicable, sin procurar ni facilitar la implantación del mismo.
  • Existen unas obligaciones formales de comunicación por parte del intermediario sujeto al deber de secreto profesional hacia los demás intermediarios y obligados tributarios interesados que participen en el mecanismo. Su ausencia quedará penalizada con sanciones.
  • Se establece un régimen especial de infracciones por incumplimiento de las obligaciones de reporte y cuyas sanciones dependerán del tipo de actuación realizada u omitida.
  • El intermediario que hubiera presentado la declaración, deberá comunicar fehacientemente su presentación al resto de intermediarios o, en su caso, al resto de obligados tributarios interesados, quienes quedarán eximidos de la obligación de declarar en virtud de esta comunicación.
  • Se dispone un régimen transitorio por el cual se declararán los mecanismos cuya primera fase de ejecución se hubiera producido entre el 25 de junio de 2018 y el 30 de junio de 2020. Asimismo, también resulta de aplicación para los mecanismos transfronterizos cuya obligación (ya no sólo ejecución) haya surgido a partir del 1 de julio de 2020.
  • Los plazos de declaración y demás detalles de la transposición se fijarán en la normativa de desarrollo (Reglamento y Orden Ministerial), que todavía se encuentra pendiente de aprobación y publicación.
